This is reflected in the foreword given by President Hoge Raad, the Head of the Supreme Court of the Netherlands 2014-2020, who gives his profound support to case-based law education.
The discussion of Corporate Law in the Netherlands is considered pivotal considering that many regulations in Indonesia are still mainly based on laws inherited from the Netherlands during the colonial times. Therefore, this book includes one article regarding the enforcement of corporate law in the Netherlands at present, as presented in Chapter I, which focuses on the development of corporate law in the Netherlands, written by a corporate law scholar from Leiden University in the Netherlands.
Overall, the introduction presents the definition of Companies and Legal Institutions with the corresponding cases, which is then followed by Chapter III, which elaborates the principles in laws for corporate or any relevant organs therein with the inclusion of relevant cases. Chapter IV explores the concept of company’s capital, including the issues related to stocks in public companies (TBK) and matters concerning merging and demerging of companies. The last chapter, Chapter V, discusses the issues related to the supervision of the company operation, such as Good Corporate Governance and Corporate Social Responsibility.
